ZephyrQL license terms

1. Who we are

These terms are an agreement between you and UptimeVanguard, De Ambacht HOUSE-NO-TBD, 4681 CV Nieuw-Vossemeer, Netherlands, KvK 42017143 ("we"). They apply when you install or use ZephyrQL. If you use ZephyrQL for an organization, you accept them for that organization.

2. Trial

You may use every feature of ZephyrQL for 7 days per computer, free of charge, to decide whether to buy. After that, the app stops connecting to databases until you activate a license. We record the trial per computer on our license server.

3. License

• A license gives one named person (one seat) the right to use ZephyrQL for the paid term, normally one year.
• One seat can be active on up to 3 computers at the same time. You can move a seat to another computer.
• The app must reach our license server from time to time. A licensed seat keeps working up to 30 days without a connection.
• You receive all updates we publish during the paid term.
• The license is not transferable without our written consent, except within your own organization by moving the seat to another person.

4. What you may not do

• Get around, disable or change the license and trial checks.
• Share, sell, rent or sublicense the app or a license key.
• Reverse engineer or decompile the app, except where the law allows it.

5. Your data and your databases

ZephyrQL works on the database servers you choose, with the accounts you give it. You decide what it changes: edits, table copies, imports and, when you allow it, actions by an AI agent through the MCP server. Keep backups and check changes before you post them. The read-only setting for AI agents limits what an agent can change, but data an agent reads goes to the AI service you use. How we process personal data is described in the privacy statement.

6. Price and payment

The price is shown on the buy page when you order, excluding VAT for businesses and including VAT for consumers. A license ends at the end of its term unless you renew it. We may change the price for later terms; a change never affects a term you already paid.

7. Refunds and withdrawal

You can try ZephyrQL free for 7 days first, so we do not refund a license when you change your mind. This does not affect the right of withdrawal described on the withdrawal page, your remedies when the software is defective or not delivered, or any other right the law gives you.

8. Quality and updates

We provide the updates needed to keep ZephyrQL working as described, including security updates, during the license term and for any longer period the law requires.

Consumers: ZephyrQL must meet the contract and the legal conformity requirements, and you have the remedies the law gives you when it does not.

Business customers: ZephyrQL is a tool for convenience. We deliver it as it is and do not promise that it is free of errors or fits your purpose. We fix errors we can reproduce, as far as we reasonably can.

9. Liability

Consumers: our liability follows the law.

Business customers: our total liability for all claims about ZephyrQL is limited to the license fee you paid for one month of the license concerned (one twelfth of the yearly fee). We are not liable for lost profit or lost business. These limits do not apply to repayment of fees, to damage caused by our intent or deliberate recklessness, or to liability that the law does not allow us to limit.

10. End

We may end a license for a material breach of these terms, after a written warning and a reasonable time to repair it, unless repair is impossible. You may stop using ZephyrQL at any time.

11. Complaints

Send complaints to support@zephyrql.com. We confirm receipt within 5 working days and answer within 14 days.

12. Law and disputes

Dutch law applies. For business customers, disputes go to the court in the district of Zeeland-West-Brabant. Consumers keep the protection of the mandatory law of the country where they live, and the courts the law assigns.
